SmartRep

Product Addendum A

Version 1.0 · Effective: April 1, 2026

This Product Addendum governs Customer’s use of SmartRep and is incorporated into the Intentify Master Services Agreement (MSA). Capitalized terms not defined here have the meanings given in the MSA.

1. Product Description

SmartRep is an AI-powered platform that enables Customers to create, configure, and embed AI chat agents on their websites and applications. SmartRep agents interact directly with End Users in real time, responding to questions, capturing information, and performing tasks as configured by the Customer.

SmartRep is designed for customer-facing deployments including support, lead capture, onboarding, and engagement. Customers are solely responsible for the configuration, deployment, and oversight of their SmartRep agents.

2. Trial and Subscription

  • SmartRep includes a 30-day free trial. No payment is required to begin the trial.

  • At the end of the trial period, the account automatically converts to a paid monthly subscription at the then-current plan rate unless canceled before the trial ends.

  • Customers will receive a reminder email [3 days] before the trial ends with the upcoming charge amount, charge date, and cancellation instructions.

3. Customer Responsibilities

In addition to the responsibilities set out in the MSA, SmartRep Customers must:

3.1 AI Disclosure to End Users

Customers are required to disclose to End Users that they are interacting with an AI agent. At minimum, Customers must:

  • Display a persistent “Powered by AI” indicator or equivalent within the chat interface at all times.

  • Include an AI disclosure in the opening message or greeting of every new conversation.

  • Use the Formal Disclosure version (as provided in the Intentify AI Disclosure Guidelines) in any legally-facing document, regulated industry deployment, or terms of service.

  • Not configure agents to deny being AI when sincerely asked by an End User.

3.2 Agent Configuration

SmartRep agents are initially configured using Intentify’s AI-powered onboarding system, which generates agent instructions, conversation flows, and discovery categories based on Customer-provided business context, industry analysis, and ideal customer profiles.

Before deployment, Customers are provided with an interactive testing environment to review and validate agent behavior. By proceeding to deploy, Customer confirms that:

  • Customer has tested the agent and is satisfied with its responses.

  • Auto-generated configurations are starting points and may require adjustment.

  • Customer is responsible for monitoring agent behavior on an ongoing basis.

  • Customer may modify agent configurations at any time through the SmartRep dashboard.

  • Intentify is not liable for harm resulting from agent configurations that Customer deployed without adequate review or testing.

Intentify may offer additional training and refinement tools. Use of such tools does not transfer responsibility for agent behavior from Customer to Intentify.

3.3 Data Collection Compliance

Customers who configure SmartRep to collect End User data (including name, email, or other personal information) are solely responsible for:

  • Obtaining all required consents from End Users prior to or at the point of collection.

  • Maintaining a privacy policy that accurately discloses the data collected through SmartRep.

  • Complying with all applicable privacy and data protection laws, including CCPA, GDPR, and any other applicable regulations.

  • Not configuring agents to collect sensitive personal data (health information, payment card data, government IDs, or biometrics) without appropriate legal basis and technical safeguards.

4. AI Disclaimer — SmartRep Specific

In addition to the general AI disclaimer in the MSA, Customer specifically acknowledges that:

  • SmartRep agents may produce responses that are inaccurate, incomplete, inconsistent, or contextually inappropriate.

  • SmartRep agents are not capable of providing licensed professional advice of any kind, including medical, legal, financial, or mental health advice.

  • Intentify is not responsible for any harm, loss, or decision made by an End User in reliance on a SmartRep agent’s response.

  • Customers in regulated industries (healthcare, finance, legal) must implement additional safeguards, disclaimers, and human oversight before deploying SmartRep agents.

5. End User Interactions

Customers acknowledge that:

  • End Users may interact with SmartRep agents in unexpected or adversarial ways. Customers are responsible for configuring agents with appropriate guardrails.

  • Intentify is not a party to the relationship between Customer and its End Users. Any obligations to End Users arising from SmartRep deployments are Customer’s sole responsibility.

  • Customers must provide End Users with a clear and accessible mechanism to report harmful or inappropriate AI responses.

6. Cancellation

SmartRep subscriptions may be canceled at any time by:

  • Navigating to Settings → Billing → Cancel Subscription in the SmartRep dashboard.

  • Emailing support@intentify.co with the account email address and cancellation request.

Cancellation takes effect at the end of the current billing period. Access is retained through that date. No prorated refunds are issued for partial billing periods unless required by applicable law.

7. Updates to This Addendum

Intentify may update this Product Addendum from time to time. Customers will receive at least 14 days’ notice of material changes via email or in-platform notification. Continued use of SmartRep after the effective date constitutes acceptance.

This Addendum supplements and is governed by the Intentify Master Services Agreement. In the event of conflict, the MSA governs on general matters and this Addendum governs on SmartRep-specific matters.
